Starrtoy平台创作者入驻协议
本协议由协议正文、附件及不时公示于“StarrToy ”创意贩售平台平台的各项规则所组成(以下简称"本协议"或"服务协议"),协议附件及规则与本协议具有同等法律效力,如规则与本协议约定不一致的,以公布生效日期或签署日期在后的文件为准执行。
1 合同内容及生效
1.1 本合同内容包括合同正文及所有平台运营方已经发布的或将来可能发布的各类规则。所有规则为合同不可分割的一部分,与合同正文具有同等法律效力。
1.2 入驻方在使用平台运营方提供的各项服务的同时,承诺接受并遵守各项相关规则的规定。平台运营方有权不时地制定、修改本合同或各类规则,如本合同有任何变更,平台运营方将在平台网站上以公示形式通知予入驻方。如入驻方不同意相关变更,可立即以书面通知的方式终止本合同。任何修订和新规则一经公布即自动生效,成为本合同的一部分。登录或继续使用服务将表示入驻方接受经修订的合同。除另行明确声明外,任何使服务范围扩大或功能增强的新内容均受本合同约束。
1.3 入驻方在线接受本合同并完成注册时,本合同即在入驻方和平台运营方之间产生法律效力。
2 定义
2.1 入驻者/创作者/入驻方:指通过平台发起商品预售、寄售或委托平台进行各类业务,并享有项目知识产权或合法授权的主体。
2.2 网站/平台:网站域名为【StarrToy.com】,入驻方可通过平台运营方配合在该网站发布、展示、查询相关信息,并发起交易,获得其他用户所支付的款项并提供商品和服务。入驻方所享有的权利和义务不受网站域名调整而影响。在平台运营方未推出APP和其他信息载体前,平台均指网站本身。
2.3 平台用户/支持者:指所有在平台运营方网站上注册成为平台运营方注册会员的法人、自然人及其他组织,本协议中统称为"用户", "客户"或"买家",除非另有说明,否则"用户"、 "客户"或"买家"均指此含义。
2.4 上架:入驻方可通过平台上架商品创建商品橱窗链接,供平台用户浏览、下单、评论。
2.5 下单:即平台用户在平台页面付费购买入驻方定制商品行为,用户下单并完成款项支付后,即视为购买入驻方提供的定制商品,入驻方应按平台指示和用户下单时间及时处理订单需求。
2.6 预售:即是指在产品还没正式进入市场前进行的销售行为。预售商品为入驻方基于预售行为所提前发布的商品,该商品通常不存在现货库存,无法立即发货。消费者通过预售链接下单并实际支付款项的,即为预付对应商品的购买款项。在满足入驻方设定的条件情况下,入驻方应按平台规则与自身承诺时间点完成设计、协调生产与发货,或处置流团的订单。
2.7 开团:平台用户提前付钱订货,等满足入驻者指定人数或者达到某个时间点,入驻者再安排发货的行为。
2.8 成团:指预售项目在设定时间内达到或超过入驻方设定的支持人数或金额目标。
2.9 流团:流团是指由于购买预售产品的人数与金额未达入驻方设置的条件,无法成团购买的情况。入驻方所发布的预售行为在入驻方设定的限期内最终发生流团的,应根据平台规则和本协议约定退还已支付的购买款项。
2.10 现货销售:即入驻方基于实际产品库存在平台上架并销售的行为。
2.11 供应链服务:指平台运营方在接受入驻者委托的前提下,为成团的预售项目提供的统一委托生产、质检、仓储及国际物流配送等有偿服务行为。
2.12 合作供应链/官方工坊:由平台运营方认证且在实际生产行为中受平台运营方管理的各类生产厂商,具体管理行为包含但不限于缔约、打样安排、质检、付款、发货等。
2.13 第三方认证供应链:指由入驻者推荐或自行选择,经过平台运营方依据《StarrToy工坊质检标准》安排实地验厂并通过,且完成平台入驻流程的各类生产厂商。此类厂商被视为纳入平台合作体系,适用合作供应链同等管理规则。
3 服务事项
3.1 入驻方确认,由于定制商品的特殊性,非质量问题入驻方及平台用户均不可使用“七天无理由退换货”等名义退货。
3.2 平台支持两种不同的商品销售模式,入驻方应根据实际库存及生产计划在上架时准确选择。入驻方确认并承诺向平台用户(支持者)如实披露销售模式,因入驻方错误标注销售模式导致的一切法律责任与损失由入驻方承担。入驻方在完成入驻手续后,在创建每一个商品链接时,均可选择以下销售与生产模式:
1) 现货模式
l 定义为:商品已在平台指定仓库或入驻方自有仓库完成备货,具备即时发货能力。
l 用户预期:下单后短期内即可完成交付。
l 履约标准:入驻方需严格遵守本协议及《费用与结算规则》中关于发货时限、库存准确性的约定。
l 特别提示:此模式下,除质量问题外,因用户个人原因提出的退换货申请,平台有权依据“定制商品”特性予以拒绝,但具体的发货延迟责任将适用违约扣款标准。
2) 预售模式
l 定义为:商品在售卖时尚未完成生产或处于设计阶段,用户通过提前支付全部或部分款项以支持项目成团及后续生产。
l 用户预期:用户明确知晓其购买行为属于远期交付的定制众筹或预售,需等待入驻方完成设计、备料及生产周期。
l 成团与流团:
成团:在设定时限内达到目标金额或人数,项目启动生产。
流团:未达目标,平台将原路全额退款至支持者账户,入驻方不获得任何款项。
交付周期:交付时间为预估时间,受定制工艺、国际物流、海关查验等客观因素影响可能存在合理波动。
l 风险告知与豁免:
鉴于预售模式的定制化与非标化特征,平台支持者(买家)不享有无理由退货权或任意撤销权。入驻方及平台运营方对于非因己方故意或重大过失导致的合理范围内的工期延误(如面料缺货、海关抽检滞留)不承担违约赔偿责任,但应及时向支持者同步项目进度。
3) 海外用户的特别法律告知:
考虑到平台面向全球用户,入驻方在此确认并同意:针对预售项目,若发生流团或平台判定入驻方违约导致的退款,退款金额仅以用户实际支付的货币金额为限,入驻方及平台不承担汇率波动导致的资金贬值风险(即仅保障“原币种金额退回”)。入驻方应在项目描述中显著位置标注预售性质及预估等待周期,以减少跨境交易中因信息不对称引发的争议。
3.3 入驻方在完成入驻手续后,在创建每一个商品链接时,均可选择以下生产模式(适用于预售):
l 官方工坊模式(使用平台合作供应链)
l 第三方工厂模式
3.4 第三方工厂合作前置程序(验厂):
1) 验厂要求: 入驻方若选择第三方工厂模式进行预售商品生产,该第三方工厂必须事先通过平台运营方的验厂审核。验厂标准包括但不限于质量管理体系、自有生产能力、材料使用合规性、公司资质等(详见平台公示的《StarrToy工坊质检标准》)。
2) 验厂流程:
l 推荐入驻:入驻方可向平台推荐其合作工厂。验厂通过且工厂完成平台入驻后,该工厂即成为第三方认证供应链("认证工厂")。入驻方可获得平台公布的一次性推荐奖励。
l 验厂通过且工厂完成平台入驻:该工厂成为第三方认证供应链(“认证工厂”),平台与认证工厂的管理规则及结算待遇等同于官方工坊模式。
l 验厂通过但工厂未入驻平台:入驻方可选择与该工厂合作,但该合作将适用第三方工厂模式,并按照《StarrToy创作者费用与结算规则》中关于第三方工厂模式的结算条款执行。
l 验厂未通过:若工厂验厂不通过,平台有权拒绝该工厂参与项目生产。若入驻方坚持使用未验厂工厂,平台有权不予上架或暂停项目,并依据本协议第9条追究违约责任。
l 动态管理:平台运营方有权对已认证工厂进行定期或不定期的复查,对于不再符合标准的工厂,将取消其认证资格并通知相关入驻方。
3.5 结算规则引用: 具体的费用标准、结算周期、结算比例及支付流程,根据入驻方选择的销售模式与生产模式,详见平台另行发布的《StarrToy创作者费用与结算规则》。该规则是本协议不可分割的组成部分。
3.6 平台运营方生产完成发货前,将提供入驻方物流单号,用于追踪货品物流轨迹。
3.7 入驻方应配合平台运营方在产品推广期提供相应的宣传素材,包括但不限于视频5-10个、宣传图片不低于20张、产品实拍图。
3.8 入驻方在完成入驻手续后,在创建每一个商品链接时,均可选择销售模式并通过平台运营方在平台上架商品。入驻方采用预售模式销售产品的,需提供明确的商品信息、预售周期、生产周期和价格;采用现货模式销售的,需提供产品信息、库存数量与定价。上述销售政策与产品相关信息将于平台对外公示。
3.9 入驻方如需平台运营方提供产品设计、策划等深度服务,双方应另行签订独立的《产品企划服务合同》。本入驻协议不规制该等服务内容。
4 入驻方的声明与保证
4.1 入驻方保证其为所发布预售商品的原创设计者或合法授权方,享有完整知识产权,不侵犯任何第三方权益。
4.2 入驻方应保证入驻时提供的联系人、联系地址、联系电话等信息真实、有效、完整,并对此信息的真实性承担法律责任。
4.3 入驻方应保证其有权利订立本协议。如入驻方授权代理人签约本协议,应确保其代理人已获得充分授权,并对代理人的行为承担法律责任,同时入驻方保证对其雇员(如有)、本协议约定的联系人及其他入驻方委派的履行本协议的人员的行为承担法律责任。
4.4 入驻方应保证对在平台上架的商品拥有合法销售权和知识产权,不侵犯任何第三方的合法权益(包括但不限于对第三方知识产权、物权等构成侵害),并对其商品质量及商品合法性独立承担全部法律责任。
4.5 入驻方应保证履行“如实描述”义务,保证在平台发布的商品信息真实、准确,符合StarrToy平台规则及国家相关法律法规的规定,与实际出售的商品一致,不含任何夸大或虚假内容。
4.6 入驻方保证进行交易的过程中应遵守诚实信用原则,不在交易中采取欺诈及虚假宣传、混淆等不正当竞争行为,不扰乱网上交易的正常秩序,不从事与网上交易无关的行为。
4.7 入驻方授予平台运营方一项全球范围内、免费的、不可撤销的许可,许可平台运营方及其关联方、指定的合作工厂、物流服务商及销售渠道(包括线上平台及线下零售网点),为履行本协议(包括生产、仓储、物流、销售、推广及售后)之目的,使用入驻方的商品名称、商标、标识、设计图、宣传素材等(“授权素材”)。
4.8 入驻方不得在平台发布或在与用户沟通过程中夹带任何吸引平台运营方用户到其他平台或入驻方自身网络销售平台或渠道进行交易的信息,也不得在配送包裹中夹带此类吸引平台运营方用户的信息,由此产生纠纷或造成平台用户损失的,入驻方需负责处理并承担全部责任。
4.9 入驻方不得隐瞒任何可能对交易产生风险的事项,应主动面向用户公示包括但不限于产品可能出现设计缺陷、权利纠纷、所上传图片存在侵权风险等提示,若入驻方隐瞒此类信息,致使平台商誉、正常经营、安全的事项而入驻方未及时处理的,平台运营方有权解除本协议并追究入驻方违约、侵权责任。
4.10 未经平台运营方另行书面许可,入驻方不得将本协议项下权利义务全部或部分转移给第三方;入驻方聘请第三方代运营公司代表入驻方的,第三方代运营公司的一切行为均视同为入驻方亲自实施,由入驻方承担全部法律后果;入驻方与第三方代运营公司间的权利义务关系由入驻方与第三方代运营公司单独解决,不得影响到平台运营方及平台运营方其他用户的权利。
4.11 入驻方不得诱导支持者进行线下交易或转移至其他平台交易。
4.12 入驻方及其代表不得做出任何违反国家法律、法规及政策的行为,否则视为入驻方严重违约,平台有权采取商品立即下架、暂停向入驻方提供服务、暂时关闭入驻方后台管理账户、冻结入驻方平台账户、终止合作等措施,且平台无需承担任何责任,入驻方因此给平台造成损失的,入驻方应承担赔偿责任。为本条之目的,“代表”指入驻方的关联方、入驻方及其关联方的董事、管理人员及雇员、入驻方及其关联方聘用的外部顾问或代理。
4.13 为最大程度保障消费者权益,满足消费者对商品的质量要求,平台运营方在生产过程中将对入驻方通过平台销售的每款商品按照国家标准,行业标准,企业标准及平台运营方发布的各品类商品要求入驻方进行资质备案,包括且不仅限于商品法律法规符合性,商品安全性,商品功能材质与描述符合性,商品标识标示,商品外观,商品包装等。
4.14 入驻方保证其上架销售的商品(包括包装、标签、说明书及产品本身),符合其预设销售目的地(如在商品链接中勾选的国家/地区)的全部强制性法律法规、技术标准及安全认证要求(包括但不限于欧盟CE/UKCA认证、美国CPSC/CPSIA/FDA要求、日本PSE/食品卫生法要求、REACH/POPs等环保指令)。
4.15 入驻方应平台或监管要求,应及时提供相应的合规证明文件(如检测报告、认证证书)。因入驻方违反本保证导致商品被目的国海关扣留、销毁、退运,或引发消费者人身伤害索赔、监管罚款的,入驻方应承担全部责任,平台运营方有权从未结算款项中直接扣除相关处置费用。
4.16 入驻方保证,其对在平台发起的每一个预售项目均具备真实、完整的履约意图与能力。项目一旦成团,入驻方承诺将按照公示的承诺,投入必要资源完成商品的生产与交付,不存在任何形式的欺诈或虚假宣传意图。
5 平台运营方的权利和义务
5.1 平台运营方根据本协议向入驻方提供电子商务交易平台及相应技术支持服务,在现有技术可实现的基础上维护平台的正常稳定运行,并努力提升和改进技术,对平台功能及服务进行更新、升级,不断提升平台性能和交易效率。该更新升级可能影响入驻方部分功能,给入驻方导致不便,入驻方对此予以完全理解和接受,StarrToy 对该更新升级不承担任何责任。
5.2 平台运营方有权根据市场情况及入驻方经营情况组织相应的促销活动,入驻方应根据自身经营情况及商品情况积极予以支持。一旦入驻方以书面方式(包括但不限于电子邮件、传真等)确认选择参与上述促销活动的,入驻方不得中途退出促销活动,或采取商品下架、恶意抬高售价等影响平台正常运营或不利于消费者权益的方式变相退出促销活动。
5.3 平台运营方有权要求入驻方提供与入驻方商品、售后服务等相关的信息,并在用户咨询时予以回复,对入驻方未及时解决的客户咨询及投诉,平台运营方有权对入驻方采取相应处理措施。
5.4 平台运营方有权根据平台运营需要制定并调整服务费(佣金)政策,调整应提前15日在平台公示。
5.5 供应链服务与履约安排
1) 官方工坊模式: 若入驻方选择使用平台合作供应链(官方工坊)或已入驻的第三方认证工厂,平台运营方负责为成团项目提供统一的供应链管理服务,包括但不限于:委托合作工厂生产、实施质量抽检、安排国际物流与清关。
2) 第三方工厂模式:若入驻方选择使用已通过平台验厂但未入驻平台的第三方工厂进行生产,则:
l 生产环节由入驻方自行与该第三方工厂建立直接合作关系,负责生产进度管理、质量控制及产品验收。平台运营方不对该工厂的生产行为、交付时效及产品质量承担监督或担保责任。
l 入驻方应在完成大货生产后,按照平台指定的包装规范及入库标准,将商品寄送至平台指定仓库。平台运营方在仓库验收合格后,负责后续的仓储管理、订单匹配及国际物流发货。
l 风险提示:入驻方充分知悉并同意,在第三方工厂模式下,因工厂原因导致的生产延误、质量问题或履约不能,由入驻方独立向该工厂追责,平台运营方仅以未结算款项为限协助入驻方处置风险,但不承担连带赔偿责任。
5.6 平台运营方依据相关法律法规的要求,制定并实施有关制止假冒或侵权行为的规则及流程,并依据规则流程采取相应措施,保障入驻方合法权益,维护平台秩序。
5.7 平台运营方有权对入驻方发布的内容进行审核,若发现存在违法违规或侵犯他人权利的情形,有权采取下架、暂停服务等措施。
5.8 因网上交易平台的特殊性,平台运营方没有义务对所有入驻方的交易行为进行事先审查,但下列情况除外:
1) 第三方通知平台运营方,认为某个具体入驻方或具体交易事项可能存在重大问题;
2) 入驻方或第三方向平台运营方告知平台上有违法或不当行为的;
3) 平台运营方发现某个具体入驻方或具体交易事项可能存在重大问题。
4) 接获各国家行政主管部门通知,对平台交易自查自纠,排查是否存在侵权、欺诈、贩卖非法物品等行为的;
5) 平台运营方以普通非专业人员的知识水平标准对相关内容进行判别,可以认为这些内容或行为具有违法或不当性质的,平台运营方有权根据不同情况选择删除相关信息、并停止对该入驻方提供服务。
5.9 对入驻方违反前款内容的任何行为,平台运营方有权追究其违约、侵权责任,若乙构成根本违约,合同目的无法实现,平台有权解除本协议。同时平台运营方有权对入驻方上架的商品进行下架及封禁的权力,但用户有权进行申诉。
5.10 数据隐私与跨境传输
平台运营方将按照平台公示的 《StarrToy隐私政策》 处理因本协议产生的所有个人数据。入驻方同意,为履行本协议项下的跨境物流及客户服务义务,平台运营方有权将必要的订单数据(如收货人姓名、地址、联系方式)提供给合作物流商、报关行及海外仓服务商。入驻方不得将获取的支持者个人信息用于任何非履约目的。
6 费用与结算
6.1. 双方确认,本协议项下涉及的服务费标准、结算周期、结算比例及具体操作流程,均以平台运营方另行发布并于平台公示的 《StarrToy创作者费用与结算规则》(以下简称“结算规则”)为准。该规则是本协议不可分割的组成部分,与本协议具有同等法律效力。
6.2. 平台运营方有权根据市场环境、服务成本及经营需要对《结算规则》进行调整。调整后的规则将于生效前至少15日在平台公示。入驻方若不同意调整,应在公示期内书面通知平台终止本协议;若入驻方在调整生效后继续使用服务,即视为同意并接受调整后的规则。
6.4. 入驻方收款账号以平台留存信息为准,入驻方应保证账户信息的真实、准确及有效性。因账户不可使用或安全性问题所导致的结算延误或其他一切风险由入驻方自行承担。
6.5. 双方确认,对于入驻方因任何原因应向平台运营方支付的违约金、赔偿金、垫付费用、代履行费用等,平台运营方均有权从入驻方在平台的全部项目及账户中的任何未结算款项、保证金、预留款中直接抵扣。如不足抵扣,入驻方应在收到平台运营方通知后5日内补足。
7 知识产权
7.1. 入驻方保留其预售商品的全部知识产权。但是应入驻方保证其提供的授权素材及商品不侵犯任何第三方合法权益。如因此引发任何索赔、诉讼或导致平台、其关联方或合作方遭受任何损失(包括但不限于赔偿款、和解金、行政罚款、律师费、商誉损失),入驻方应承担全部责任并足额赔偿,且平台有权立即从入驻方应收款项中扣除相应金额。
7.2. 未经入驻方另行书面许可,平台运营方不得将入驻方的设计用于本合同约定范围之外的其他目的。平台运营方有权为宣传平台整体业务使用项目信息。
7.3. 平台运营方为优化生产流程而对设计文件进行的必要技术性调整,不视为对知识产权的侵犯。
8 交付、售后与风险承担
8.1. 国际配送与关税承担
1) 平台运营方负责安排商品从中国大陆或指定海外仓发往支持者提供的收货地址的国际物流。
2) 关税与税费: 除商品页面另有明确声明外,商品价格不包含目的国海关征收的关税、进口增值税(VAT/GST)、消费税及清关手续费。上述费用由支持者(收货人) 自行承担。
3) 入驻方及平台运营方有义务在商品详情页显著位置提示海外买家“请注意:国际配送可能产生关税,由买家承担”。因未履行提示义务导致的拒收、退款及退运损失,由过错方承担。
4) 若支持者拒绝支付关税导致包裹被销毁或退运,平台有权在扣除往返运费、仓储费及关税保证金后,将剩余款项退还支持者,入驻方不得要求结算该笔订单款项。
8.2. 因商品概念、功能设计、选材标准等由入驻方独立决定或确认的因素(“设计因素”)所引发的商品质量问题、消费者投诉或法律风险,由入驻方承担全部最终责任。因第三方工厂(包括已认证工厂)的生产工艺、质量控制等非设计因素导致的商品质量问题,平台运营方应协助入驻方向工厂追责,但平台运营方不承担连带赔偿责任,除非平台运营方在组织生产过程中存在故意或重大过失。
8.3. 双方确认,国际定制生产与物流存在固有风险(如轻微工期延误、海关抽查、个别货损)。平台运营方应尽责管理,但对于不可归责于平台运营方的合理风险,双方应共同向支持者说明并协商解决。
8.4. 入驻方需要退出平台的,其平台账户下不可存在未关闭的交易订单,在满足上述条件的前提下,应至少提前七个工作日向平台运营方提出申请。入驻方自行退出的,平台运营方将于收到申请后二十个工作日内将所有账户未提现资金强制结算后汇入入驻方预留银行账户,并在汇款完成后注销作废入驻方平台账户。
9 违约责任
9.1 入驻方向平台提供虚假、失效的证明文件或其他相关证明,在"StarrToy 平台"发布错误、虚假、违法或进行其他违反本协议约定的行为,给平台及/或"StarrToy 平台"造成任何损失的(损失包括但不限于诉讼费、律师费、赔偿、补偿、行政机关处罚、差旅费、商誉等),入驻方应予赔偿。
9.2 入驻方存在以下情况时,一经发现即视为违约:
1) 提供虚假资质文件;
2) 定制产品价格、规格等信息标示错误,导致行政处罚、争议和用户纠纷;
3) 提供的设计存在侵权瑕疵,或生产文件错误,导致平台运营方或合作方遭受损失的,入驻方应承担全部赔偿责任。
4) 使用的产品设计侵犯第三方知识产权权益、违反法律规定或违反平台规则;
5) 进行虚假宣传、虚标价格或经平台运营方自查发现入驻方存在向站外引流行为;
6) 宣传文案和产品设计存在违反社会公序良俗、所在目标法律法规,遭用户举报经平台运营方核实情况为真的;
7) 入驻方发货的产品与产品描述严重不符,遭用户投诉的;
8) 入驻方发货的包裹、产品中夹带禁止国际运输的物品,经平台运营方或任何第三方抽检发现的;
9) 对用户进行恶意骚扰或者泄露用户隐私、个人信息;
10) 现货模式下,用户下单付款后,入驻方延迟发货超过十五日;
11) 预售模式下,用户成团后,入驻方超出预定发货日期限未发货,且未提前公告说明的;
12) 平台运营方接获行政机关通知,应行政机关要求强制暂停服务。
13) 因入驻方原因(包括但不限于发货延迟、商品与描述严重不符、假货争议)导致平台收到信用卡退单拒付(Chargeback)或PayPal争议裁决败诉,产生的支付渠道罚金及争议处理费。
9.3 入驻方存在协议约定的违约情形,或其实施的其他行为对平台商誉、正常运营秩序或消费者权益造成或可能造成损害的,平台运营方有权根据情况独立判断,采取以下一项或多项措施,入驻方理解并同意,此类措施是平台运营方为维护平台生态所必需的管理行为,不构成违约:
1) 暂停结算;
2) 冻结账户资金;
3) 下架全部或部分商品;
4) 暂停提供服务;
5) 单方解除本协议,清退入驻方。
9.4 入驻方发生违反本协议及平台规则的情形时,平台除有权按照本条约定要求入驻方承担违约责任外,还有权按照"StarrToy 平台"相关管理规则采取商品立即下架、暂停向入驻方提供服务、终止合作等措施。如入驻方、入驻方关联方或销售伪劣商品,平台运营方有权将入驻方加入合作黑名单清退。同时,平台运营方对于入驻方存于StarrToy 库房的假冒商品库存有权予以销毁。
9.5 针对预售成团后或销售现货恶意违约的特殊责任
入驻方通过平台发起预售项目并成团后,发生下列任一行为,均构成严重根本违约,平台运营方除有权立即采取本协议第9.3条所述的全部措施外,入驻方还应承担特殊责任:
1) 不当下架或拒绝履约: 无正当理由(如遭遇不可抗力或出现重大设计缺陷经平台运营方认可)擅自下架已成交的预售商品链接,或明确表示拒绝履行生产、发货义务的。
2) 转移或诱导订单: 以任何方式(包括但不限于在商品包裹中夹带宣传材料、通过客服沟通引导、提供外部联系方式等)诱导或试图诱导支持者取消在平台的订单,转而通过入驻方或其他渠道进行交易的。
3) 提供虚假资料或恶意干扰履约: 在履约过程中,向平台运营方或合作工厂提供错误、不完整或具有误导性的生产文件、技术资料,导致无法生产或生产出严重不符合预售描述的商品;或无正当理由,拒绝配合、拖延确认生产所必需的关键环节(如样品确认、工艺审核),恶意干扰或阻碍平台运营方正常组织生产与发货流程。
针对上述违约行为的责任:
1) 违约金标准:入驻方应向平台运营方支付相当于该违约项目总成交金额 100% 的违约金。该违约金用于弥补平台运营方商誉损失、用户安抚成本、代履行费用及预期利益损失。
2) 跨项目资金归集与抵扣授权:入驻方在此不可撤销地授权平台运营方,为清偿本条款项下的违约金、赔偿金及代履行费用,有权采取以下措施:
l 归集范围: 将入驻方在StarrToy平台全部账户、全部项目(包括但不限于其他预售项目、现货销售项目、已完成未提现项目) 项下的全部未结算款项、保证金、预留款及任何名义的应收款项进行统一归集。
l 直接抵扣: 平台运营方有权从上述归集款项中直接扣除本条款项下入驻方应付的全部款项,无需另行通知。
l 不足部分追偿: 若归集并抵扣后仍不足以覆盖平台运营方全部损失(包括代履行费用、用户退款、支付罚金、律师费等),入驻方应在收到平台书面通知后 5日内 补足差额。
3) 履约或退款义务不豁免: 入驻方承担上述违约责任,不免除其应尽的合同义务。对于尚未履行的订单,平台运营方有权选择:(a) 要求入驻方继续履行或委托第三方代为履行,由此产生的一切费用(包括但不限于更高的生产成本、加急物流费)由入驻方承担;或 (b) 直接向支持者全额退款,所有退款支出及因此产生的支付手续费由入驻方承担。
4) 永久清退: 发生此类违约的,平台运营方有权立即将入驻方及其关联主体永久清退出平台,列入合作黑名单,并公示其违约行为。
9.6 本条中涉及的违约金及赔偿金,入驻方应在平台发出书面通知之日起5日内向StarrToy 支付。若入驻方逾期不予缴纳,平台运营方有权从任何平台应向入驻方支付的款项中直接扣除。
9.7 入驻方采用平台运营方供应链服务的,若因平台运营方重大过失导致生产严重偏离入驻方既定标准,或物流严重延误丢失,平台运营方应承担相应责任。
10 有限责任及免责
10.1 不论在何种情况下,平台运营方均不对由于电力、罢工(含内部罢工或劳工骚乱)、劳动争议、暴乱、起义、骚乱、生产力或生产资料不足、火灾、洪水、风暴、爆炸、战争、政府行为等不可抗力,国际、国内法院的命令或第三方的不作为而造成的不能服务或延迟服务承担责任。
10.2 鉴于互联网及电子商务所具有之特殊性质,平台运营方的免责事由亦包括但不限于下列任何影响网络正常经营之情形:
1) 大规模黑客攻击、计算机病毒侵入或发作;
2) 计算机系统遭到破坏、瘫痪或无法正常使用而导致StarrToy 不能履行服务协议下义务;
3) 电信部门技术调整导致之重大影响;
4) 因政府管制而造成的暂时性关闭等;
5) 其他非StarrToy 过错造成的情形。
10.3 不可抗力处理:如本协议履行期间,甲乙双方任何一方遭受不可抗力,均应在遭受不可抗力后尽快通知对方,并于通知之日起15日内提供相关证明文件,不可抗力持续达到三十日的,任一方有权经通知对方提前终止本协议。因不可抗力原因而导致本协议中止、终止的,双方均不须向对方承担违约责任。
11 协议效力、终止及解除
11.1 本协议仅对特定用户开展的相关业务具有法律约束力。
11.2 争议解决分层约定
1) 平台与入驻方之间: 因本协议引起的或与本协议有关的任何争议,双方应友好协商解决;协商不成的,任何一方均有权向平台运营方所在地有管辖权的人民法院提起诉讼。
2) 涉及海外支持者(消费者)的争议:
l 若支持者为中华人民共和国大陆地区以外司法管辖区的居民,支持者有权根据其居住地法律及消费者保护强制性规定,向其居住地有管辖权的法院提起诉讼。
l 平台运营方与入驻方应共同配合处理此类跨境消费争议。若因入驻方提供的商品或服务违反支持者居住地强制性法律规定,导致平台运营方在境外被诉或遭受处罚,入驻方应承担平台运营方因此遭受的全部损失(包括但不限于境外诉讼费、律师费、罚款、和解金)。
l 平台鼓励双方通过在线争议解决(ODR)平台进行友好协商。
11.3 本协议的订立、效力、解释、履行及争议解决,适用中华人民共和国大陆地区法律。本条款的适用不得剥夺或限制任何司法管辖区内强制性消费者保护法律赋予支持者(消费者)的权利。若支持者为其居住地法律项下的“消费者”,且该居住地法律对消费者提供了更高标准的强制性保护,则该等强制性规定应予适用。解释、变更、履行及争议的解决等均适用中华人民共和国大陆地区现行有效的法律。
12 其他约定
12.1 双方确认,本协议的订立、效力、解释、履行及争议解决,均适用中华人民共和国法律。因本协议产生之争议,双方应协商解决;协商不成的,任何一方均有权向 平台运营方所在地 有管辖权的人民法院提起诉讼。
12.2 本协议入驻方在平台账户中填写的联系方式(包括电子邮箱、手机号、地址),均为双方往来法律文书、通知及争议解决文书的有效送达地址。上述地址发生变更,变更方应于3日内书面通知对方,否则原地址送达视为有效。因提供地址不准确、地址变更未通知或拒绝签收导致文书未能实际接收的,邮寄送达的,以文书退回之日视为送达之日;电子送达的,以发送至指定系统之日视为送达之日。
12.3 本协议的任何一方未能及时行使本协议项下的权利不应被视为放弃该权利,也不影响该方在将来行使该权利。
12.4 如果本协议中的任何条款无论因何种原因完全或部分无效或不具有执行力,或违反任何适用的法律,则该条款被视为删除。但本协议的其余条款仍应有效并且有约束力。
12.5 本协议是缔约双方之间关于本协议中提及合作事项的完整的、唯一的协议,本协议取代了任何先前的关于该合作事项的协议和沟通(包括数据电文形式、书面形式和口头形式)。
12.6 本协议以中文版本为准。平台可能提供其他语言译本供参考。若中文版本与译本存在冲突,在不违反支持者所在法域强制性消费者保护法律的前提下,以中文版本为准。

Creator Partnership Agreement
This Agreement comprises the main body of the Agreement, its annexes, and the various rules published from time to time on the “StarrToy” creative sales platform (hereinafter referred to as “this Agreement” or the “Service Agreement”). The annexes and rules of this Agreement shall have the same legal effect as the main body. In the event of any conflict between the rules and this Agreement, the document with the most recent publication or signing date shall take precedence.
1 Contract Content and Effectiveness
1.1 All such rules form an integral part of this Agreement and have the same legal force as the main body of the Agreement.
1.2 By using the services provided by the Platform Operator, the Vendor undertakes to accept and comply with the provisions of all relevant rules. The Platform Operator reserves the right to formulate and amend this Agreement or any rules from time to time. Should any changes be made to this Agreement, the Platform Operator shall notify the Vendor by way of a public notice on the Platform’s website. If the Vendor does not agree to such changes, they may terminate this Agreement immediately by written notice. Any amendments and new rules shall automatically come into effect upon publication and shall form part of this Agreement. Logging in or continuing to use the services shall constitute the Vendor’s acceptance of the amended Agreement. Unless otherwise expressly stated, any new content that expands the scope of services or enhances functionality shall be subject to this Agreement.
1.3 This Agreement shall become legally binding between the Vendor and the Platform Operator upon the Vendor’s online acceptance of this Agreement and completion of registration.
2 Definitions
2.1 Creator/Vendor: Refers to the entity that initiates pre-sales or consignment of goods via the Platform, or entrusts the Platform to conduct various business activities, and holds the intellectual property rights to the project or possesses lawful authorisation.
2.2 Website/Platform: The website with the domain name [StarrToy.com]. The Vendor may, with the cooperation of the Platform Operator, publish, display and search for relevant information on this website, initiate transactions, receive payments from other users, and provide goods and services. The rights and obligations of the Vendor shall not be affected by any changes to the website domain name. Until the Platform Operator launches an app or other information carriers, the term “Platform” shall refer to the website itself.
2.3 Platform Users/Supporters: Refers to all legal entities, natural persons and other organisations that have registered as members on the Platform Operator’s website. In this Agreement, these are collectively referred to as “Users”, “Customers” or “Buyers”; unless otherwise specified, “Users”, “Customers” or “Buyers” shall have this meaning.
2.4 Listing: The Vendor may create product showcase links by listing products on the Platform, for Platform Users to browse, place orders and leave reviews.
2.5 Placing an Order: This refers to the act of a Platform User paying for and purchasing a Customised Product from a Vendor via the Platform. Once a User places an order and completes payment, they are deemed to have purchased the Customised Product provided by the Vendor. The Vendor shall process the order promptly in accordance with the Platform’s instructions and the time at which the User placed the order.
2.6 Pre-sale: This refers to sales activities conducted before a product has officially entered the market. Pre-sale products are those released in advance by the Vendor as part of the pre-sale process; such products typically do not exist in stock and cannot be dispatched immediately.Where a consumer places an order via a pre-sale link and makes actual payment, this constitutes advance payment for the corresponding product. Provided the conditions set by the vendor are met, the vendor shall, in accordance with platform rules and their own committed timeline, complete the design, coordinate production and dispatch, or process refunds for Unsuccessful Funding projects.
2.7 Group Launch: A process whereby platform users pay in advance to place orders; once the number of participants specified by the vendor is reached or a designated time is met, the vendor arranges for dispatch accordingly.
2.8 Project Funded: This refers to a pre-sale project reaching or exceeding the number of participants or the monetary target set by the vendor within the specified timeframe.
2.9 Unsuccessful Funding: An Unsuccessful Funding refers to a situation where the purchase cannot proceed because the number of buyers or the total amount paid for the pre-sale product has not met the conditions set by the vendor. If a pre-sale launched by the vendor is ultimately cancelled within the time limit set by the vendor, the vendor shall refund the purchase payments made in accordance with the platform rules and the terms of this Agreement.
2.10 Ready-to-ship Sales: Refers to the act of a Vendor listing and selling products on the Platform based on actual product stock.
2.11 Supply Chain Services: Refers to the paid services provided by the platform operator, upon acceptance of a request from a Vendor, for pre-sale projects that have been successfully funded. These services include centralised contract manufacturing, quality inspection, warehousing and international logistics distribution.
2.12 Partner Supply Chain / Official Workshops: Various manufacturers certified by the platform operator and managed by the platform operator in their actual production activities; specific management activities include, but are not limited to, contract signing, sample production arrangements, quality inspection, payment and dispatch.
2.13 Third-Party Certified Supply Chain: Refers to various manufacturers recommended by vendors or selected independently, which have undergone on-site factory inspections arranged by the platform operator in accordance with the ‘StarrToy Workshop Quality Inspection Standards’, passed such inspections, and completed the platform onboarding process. Such manufacturers are deemed to be part of the platform’s partnership system and are subject to the same management rules as the Partner Supply Chain.
3 Terms of Service
3.1 The Vendor acknowledges that, due to the special nature of customised products, neither the Creator nor Platform Users may return goods under the pretext of a “7-Day Satisfaction Guarantee” policy for reasons other than quality issues.
3.2 The platform supports two distinct product sales models; vendors must select the appropriate one accurately when listing products based on actual stock levels and production plans. Vendors confirm and undertake to disclose the sales model truthfully to platform users (backers); all legal liabilities and losses arising from vendors’ incorrect labelling of the sales model shall be borne by the vendors. Upon completion of the onboarding procedures, vendors may select from the following sales and production models when creating each product listing:
4) Ready-to-ship Model
l Defined as: The product has been stocked in the platform’s designated warehouse or the seller’s own warehouse and is ready for immediate dispatch.
l User Expectation: Delivery is expected within a short period following the placement of an order.
l Fulfilment Standards: The Vendor must strictly comply with the provisions regarding dispatch deadlines and inventory accuracy set out in this Agreement and the ‘Fees and Payouts Rules’.
l Special Note: Under this model, except for quality issues, the Platform reserves the right to reject return or exchange requests made for personal reasons by the user, based on the nature of “customised products”; however, liability for specific shipping delays will be subject to the standard deductions for breach of contract.
5) Pre-sale Model
l Definition: Products that are not yet in production or are in the design phase at the time of sale; users pay all or part of the amount in advance to support the project’s launch and subsequent production.
l User Expectations: Users expressly acknowledge that their purchase constitutes a customised crowdfunding or pre-sale arrangement with deferred delivery, and must await the Vendor’s completion of the design, material preparation and production cycles.
l Project Funded and Failure:
Project Funded: If the target amount or number of backers is reached within the set timeframe, production commences.
Failed Campaign: If the target is not met, the platform will issue a full refund via the original payment method to the supporter’s account, and the seller will not receive any funds.
Delivery Timeline: Delivery times are estimates and may be subject to reasonable variations due to objective factors such as customisation processes, international logistics and customs inspections.
l Risk Disclosure and Disclaimer:
Given the customised and non-standardised nature of the pre-sale model, platform backers (buyers) do not have the right to return goods without cause or to cancel orders at will. The seller and the platform operator shall not be liable for compensation for breach of contract in respect of reasonable delays in the production schedule that are not caused by their own wilful misconduct or gross negligence (such as fabric shortages or delays due to customs spot checks), but shall promptly update backers on the project’s progress.
6) Special Legal Notice for Overseas Users:
Given that the platform serves a global user base, the Vendor hereby confirms and agrees that: for pre-sale projects, in the event of a cancelled order or a refund resulting from the platform determining that the Vendor has breached the agreement, the refund amount shall be limited to the actual amount paid by the user in the relevant currency. Neither the Vendor nor the platform shall bear the risk of capital depreciation resulting from exchange rate fluctuations (i.e., only a refund in the original currency is guaranteed).The Vendor shall clearly indicate the pre-sale nature and estimated waiting period in a prominent position within the project description to minimise disputes arising from information asymmetry in cross-border transactions.
3.3 Upon completion of the onboarding process, when creating each product listing, the Vendor may select one of the following production models (applicable to pre-sales):
l Official Workshop Model (using the platform’s partner supply chain)
l Third-party factory model
3.4 Pre-cooperation procedures for third-party factories (factory audit):
3) Factory Audit Requirements: If a seller chooses the Third-Party Factory Model for the production of pre-sale products, the third-party factory must first pass the factory audit conducted by the platform operator. Audit standards include, but are not limited to, quality management systems, in-house production capacity, compliance with material usage regulations, and company qualifications (please refer to the ‘StarrToy Workshop Quality Inspection Standards’ published on the platform for details).
4) Factory Audit Process:
l Recommended Onboarding: Sellers may recommend their partner factories to the platform. Once the factory audit is passed and the factory has completed the platform onboarding process, the factory becomes a third-party certified supply chain (“Certified Factory”). The seller will receive a one-off referral reward as announced by the platform.
l Factory passes audit and completes platform onboarding: The factory becomes part of the third-party certified supply chain (“Certified Factory”), and the management rules and Payouts terms between the platform and the Certified Factory are equivalent to those of the official workshop model.
l Factory audit passed but factory has not joined the platform: The applicant may choose to collaborate with the factory, but such collaboration will be subject to the third-party factory model and shall be executed in accordance with the Payouts terms regarding the third-party factory model set out in the “StarrToy Vendor Fees and Payouts Rules”.
l Failure to pass the factory audit: If a factory fails the audit, the Platform reserves the right to refuse that factory’s participation in project production. Should a registered party insist on using an unaudited factory, the Platform reserves the right to refuse listing or suspend the project, and to pursue liability for breach of contract in accordance with Clause 9 of this Agreement.
l Dynamic Management: The Platform Operator reserves the right to conduct periodic or ad hoc re-inspections of certified factories. For factories that no longer meet the standards, their certification status will be revoked and the relevant Partner will be notified.
3.5 Reference to Payouts Rules: Specific fee standards, Payouts cycles, Payouts ratios and payment procedures shall be determined in accordance with the sales and production models selected by the Vendor. Please refer to the Platform’s separately published “StarrToy Vendor Fees and Payouts Rules” for details. These rules form an integral part of this Agreement.
3.6 Prior to dispatch upon completion of production, the Platform Operator shall provide the Partner with a logistics tracking number for the purpose of tracking the shipment’s progress.
3.7 The Partner shall cooperate with the Platform Operator to provide relevant promotional materials during the product promotion period, including but not limited to 5–10 videos, no fewer than 20 promotional images, and actual product photographs.
3.8 Upon completion of the onboarding procedures, the Vendor may select a sales model when creating each product listing and list the product on the Platform via the Platform Operator. Where the Vendor sells products under the pre-sale model, they must provide clear product information, the pre-sale period, the production lead time and the price; where selling under the stock model, they must provide product information, stock levels and pricing. The aforementioned sales policies and product-related information shall be publicly displayed on the Platform.
3.9 Should the Vendor require in-depth services from the Platform Operator, such as product design or planning, the parties shall enter into a separate ‘Product Planning Service Contract’. This Vendor Agreement does not govern the content of such services.
4 Declarations and Warranties of the Vendor
4.1 The Vendor warrants that it is the original designer or a legally authorised party of the pre-sale products it publishes, holds full intellectual property rights, and does not infringe upon the rights of any third party.
4.2 The Vendor shall ensure that the contact details, including the contact person, address and telephone number, provided upon registration are true, valid and complete, and shall bear legal responsibility for the authenticity of such information.
4.3 The Vendor warrants that it has the authority to enter into this Agreement. If the Vendor authorises an agent to sign this Agreement, it shall ensure that such agent has been duly authorised and shall bear legal liability for the agent’s actions; furthermore, the Vendor warrants that it bears legal liability for the actions of its employees (if any), the contact person specified in this Agreement, and any other personnel appointed by the Vendor to perform the obligations under this Agreement.
4.4 The Vendor warrants that it possesses the lawful right to sell and the intellectual property rights to the products listed on the Platform, and that it does not infringe upon the lawful rights and interests of any third party (including, but not limited to, infringement of third-party intellectual property rights or property rights), and shall bear full and independent legal liability for the quality and legality of its products.
4.5 The Vendor shall fulfil the obligation of “truthful description”, ensuring that the product information published on the Platform is true and accurate, complies with the rules of the StarrToy Platform and relevant national laws and regulations, corresponds to the actual products sold, and contains no exaggerated or false content.
4.6 The Vendor warrants that, during the course of transactions, it shall adhere to the principle of good faith, shall not engage in fraudulent or misleading advertising, or any other acts of unfair competition, shall not disrupt the normal order of online transactions, and shall not engage in activities unrelated to online transactions.
4.7 The Vendor grants the Platform Operator a worldwide, royalty-free, irrevocable licence permitting the Platform Operator, its affiliates, designated partner factories, logistics service providers and sales channels (including online platforms and offline retail outlets) to use the Vendor’s product names, trademarks, logos, design drawings, promotional materials, etc. (“Authorised Materials”) for the purpose of fulfilling this Agreement (including production, warehousing, logistics, sales, promotion and after-sales services).
4.8 The Vendor shall not publish on the Platform or include in communications with users any information designed to attract the Platform Operator’s users to transact on other platforms or the Vendor’s own online sales platforms or channels; nor shall the Vendor include such information in delivery parcels. Should any disputes arise or losses be incurred by Platform users as a result, the Vendor shall be responsible for resolving the matter and shall bear full liability.
4.9 The Vendor shall not conceal any matters that may pose a risk to transactions and shall proactively disclose to users warnings including, but not limited to, potential design defects in products, disputes over rights, and the risk of infringement in uploaded images. If the Vendor conceals such information, thereby affecting the Platform Operator’s goodwill, normal operations or security, and the Vendor fails to address the matter in a timely manner, the Platform Operator shall have the right to terminate this Agreement and pursue the Vendor’s liability for breach of contract and infringement.
4.10 Without the prior written consent of the Platform Operator, the Vendor shall not transfer all or part of the rights and obligations under this Agreement to a third party;Where the Vendor engages a third-party management company to act on its behalf, all actions taken by such third-party management company shall be deemed to have been carried out by the Vendor itself, and the Vendor shall bear all legal consequences; the relationship regarding rights and obligations between the Vendor and the third-party management company shall be resolved solely between the Vendor and the third-party management company, and shall not affect the rights of the Platform Operator or other users of the Platform.
4.11 The Vendor shall not induce supporters to engage in offline transactions or to transfer transactions to other platforms.
4.12 The Vendor and its representatives shall not engage in any conduct that violates national laws, regulations or policies; otherwise, this shall be deemed a material breach by the Vendor, and the Platform shall be entitled to take measures such as immediately delisting products, suspending the provision of services to the Vendor, temporarily closing the Vendor’s backend management account, freezing the Vendor’s Platform account, or terminating the cooperation, without the Platform bearing any liability. Should the Vendor cause any loss to the Platform as a result, the Vendor shall be liable for compensation.For the purposes of this clause, “representative” refers to the Vendor’s affiliates, directors, managers and employees of the Vendor and its affiliates, and external consultants or agents engaged by the Vendor and its affiliates.
4.13 To maximise the protection of consumer rights and meet consumer quality requirements for goods, the Platform Operator shall, during the production process, require the Vendor to file qualification documentation for each product sold via the Platform in accordance with national standards, industry standards, corporate standards, and the Platform Operator’s published requirements for each product category. This includes, but is not limited to, compliance with product laws and regulations, product safety, conformity of product functions, materials and descriptions, product labelling and marking, product appearance, and product packaging.
4.14 The Vendor warrants that the products listed for sale (including packaging, labels, instructions and the products themselves) comply with all mandatory laws, regulations, technical standards and safety certification requirements of the intended destination (such as the country or region selected in the product listing), including but not limited to EU CE/UKCA certification, US CPSC/CPSIA/FDA requirements, Japanese PSE/Food Sanitation Law requirements, and environmental directives such as REACH and POPs.
4.15 Upon request by the Platform or regulatory authorities, the Vendor shall promptly provide the relevant compliance documentation (such as test reports and certification certificates). Should the Vendor’s breach of this warranty result in goods being detained, destroyed or returned by the customs authorities of the destination country, or lead to claims for personal injury by consumers or regulatory fines, the Vendor shall bear full responsibility, and the Platform operator reserves the right to deduct the relevant disposal costs directly from any outstanding payments.
4.16 The Vendor warrants that it possesses a genuine and full intention and capacity to fulfil every pre-sale project initiated on the Platform. Once a project is successfully launched, the Vendor undertakes to commit the necessary resources to complete the production and delivery of the goods in accordance with the published commitments, and that there is no intention of fraud or false advertising in any form.
5 Rights and Obligations of the Platform Operator
5.1 The Platform Operator shall provide the Vendor with an e-commerce trading platform and corresponding technical support services in accordance with this Agreement. It shall maintain the normal and stable operation of the platform to the extent feasible with current technology, and shall endeavour to enhance and improve the technology, updating and upgrading the platform’s functions and services to continuously improve platform performance and transaction efficiency. Such updates and upgrades may affect certain functions available to the Vendor and cause inconvenience to the Vendor; the Vendor fully understands and accepts this, and StarrToy shall not bear any liability for such updates and upgrades.
5.2 The Platform Operator reserves the right to organise promotional activities in accordance with market conditions and the business performance of the Vendor. The Vendor shall actively support such activities in light of its own business circumstances and product range. Once the Vendor has confirmed in writing (including, but not limited to, via email or fax) its decision to participate in the aforementioned promotional activities, the Vendor shall not withdraw from the promotional activities midway, nor shall it withdraw from the promotional activities in a disguised manner—such as by delisting products or maliciously inflating prices—in a way that affects the normal operation of the Platform or is detrimental to consumer rights.
5.3 The Platform Operator reserves the right to request that the Vendor provide information relating to the Vendor’s products and after-sales services, and to respond to user enquiries. Where the Vendor fails to resolve customer enquiries or complaints in a timely manner, the Platform Operator reserves the right to take appropriate measures against the Vendor.
5.4 The Platform Operator reserves the right to formulate and adjust service fee (commission) policies in accordance with operational requirements; any adjustments must be announced on the Platform 15 days in advance.
5.5 Supply Chain Services and Fulfilment Arrangements
3) Official Workshop Model: If a Vendor chooses to utilise the Platform’s partner supply chain (Official Workshops) or third-party certified factories already registered on the Platform, the Platform Operator shall be responsible for providing unified supply chain management services for group-purchase projects, including but not limited to: commissioning partner factories for production, conducting quality spot checks, and arranging international logistics and customs clearance.
4) Third-Party Factory Model: If a Vendor chooses to use a third-party factory that has passed the Platform’s factory audit but is not registered on the Platform for production, then:
l The seller shall establish a direct cooperative relationship with the third-party factory regarding the production process and shall be responsible for production progress management, quality control and product acceptance. The platform operator shall not bear any supervisory or guarantee responsibilities regarding the factory’s production activities, delivery timelines or product quality.
l Upon completion of bulk production, the Vendor shall dispatch the goods to the platform’s designated warehouse in accordance with the platform’s specified packaging specifications and warehousing standards. Following successful inspection at the warehouse, the platform operator shall be responsible for subsequent warehousing management, order fulfilment and international logistics dispatch.
l Risk Disclosure: The Vendor fully acknowledges and agrees that, under the third-party factory model, any production delays, quality issues or failure to perform arising from the factory’s actions shall be the sole responsibility of the Vendor to pursue against the factory. The Platform Operator shall assist the Vendor in managing such risks only to the extent of any outstanding payments, but shall not bear any joint and several liability for compensation.
5.6 The Platform Operator shall formulate and implement rules and procedures to prevent counterfeiting or infringement in accordance with relevant laws and regulations, and shall take appropriate measures in accordance with such rules and procedures to safeguard the legitimate rights and interests of the Vendor and maintain order on the Platform.
5.7 The Platform Operator reserves the right to review content published by the Vendor. Should any illegal, non-compliant or rights-infringing content be identified, the Platform Operator is entitled to take measures such as removing the content or suspending services.
5.8 Due to the specific nature of online trading platforms, the Platform Operator is under no obligation to conduct prior reviews of all Vendors’ trading activities, except in the following circumstances:
6) A third party notifies the platform operator that a specific Vendor or specific transaction may involve serious issues;
7) A Vendor or a third party informs the Platform Operator of illegal or improper conduct on the platform;
8) The platform operator discovers that a specific vendor or a specific transaction may involve serious issues;
9) Upon receiving notification from relevant national administrative authorities, the platform operator shall conduct a self-inspection and rectification of platform transactions to investigate whether there are any acts of infringement, fraud, or the sale of illegal goods;
10) Where the Platform Operator, applying the standard of knowledge of an ordinary, non-specialist person, determines that relevant content or conduct is of an illegal or improper nature, the Platform Operator reserves the right, depending on the circumstances, to remove such information and suspend services to the relevant Vendor.
5.9 For any breach by a Vendor of the provisions set out in the preceding paragraph, the Platform Operator reserves the right to pursue claims for breach of contract and infringement. Should Party B commit a fundamental breach rendering the purpose of the contract unachievable, the Platform reserves the right to terminate this Agreement. Furthermore, the Platform Operator reserves the right to remove and ban products listed by the Vendor, though the user retains the right to lodge an appeal.
5.10 Data Privacy and Cross-Border Transfer
The Platform Operator shall process all personal data arising from this Agreement in accordance with the Platform’s published ‘StarrToy Privacy Policy’. The Vendor agrees that, for the purpose of fulfilling cross-border logistics and customer service obligations under this Agreement, the Platform Operator is entitled to provide necessary order data (such as the recipient’s name, address and contact details) to partner logistics providers, customs brokers and overseas warehouse service providers. The Vendor shall not use any personal information of supporters obtained for any purpose other than the performance of this Agreement.
6 Fees and Payouts
6.3. Both parties confirm that the service fee rates, Payouts cycles, Payouts ratios and specific operational procedures under this Agreement shall be governed by the “StarrToy Vendor Fees and Payouts Rules” (hereinafter referred to as the “Payouts Rules”), which shall be separately issued by the Platform Operator and published on the Platform. These Rules form an integral part of this Agreement and shall have the same legal effect as this Agreement.
6.4. The Platform Operator reserves the right to amend the “Payouts Rules” in accordance with market conditions, service costs and operational requirements. The amended rules shall be published on the Platform at least 15 days prior to their effective date. Should the Vendor disagree with the amendments, it must notify the Platform in writing during the publication period to terminate this Agreement; if the Vendor continues to use the services after the amendments take effect, it shall be deemed to have agreed to and accepted the amended rules.
6.6. The Vendor’s payment account details shall be as recorded by the Platform, and the Vendor shall ensure that such account information is true, accurate and valid. Any Payouts delays or other risks arising from the account being unusable or security issues shall be borne solely by the Vendor.
6.7. Both parties confirm that the Platform Operator shall be entitled to set off any liquidated damages, compensation, advanced expenses, or costs of substitute performance owed by the Vendor to the Platform Operator for any reason against any unsettled funds, security deposits, or reserved funds held in the Vendor’s accounts or projects on the Platform. Should such amounts be insufficient to cover the debt, the Vendor shall make up the shortfall within 5 days of receiving notification from the Platform Operator.
7 Intellectual Property
7.4. The Vendor retains all intellectual property rights in its pre-sale products. However, the Vendor warrants that the authorised materials and products it provides do not infringe upon the legitimate rights and interests of any third party.Should any claims or legal proceedings arise as a result, or should the Platform, its affiliates or partners suffer any losses (including but not limited to compensation, Payouts payments, administrative fines, legal fees and loss of goodwill), the Vendor shall bear full responsibility and provide full compensation; furthermore, the Platform shall be entitled to immediately deduct the corresponding amount from the Vendor’s receivables.
7.5. Without the Vendor’s separate written consent, the Platform Operator shall not use the Vendor’s designs for any purposes other than those specified in this Agreement or for other purposes on . The Platform Operator reserves the right to use project information for the promotion of the Platform’s overall business.
7.6. Any necessary technical adjustments made by the Platform Operator to the design documents for the purpose of optimising production processes shall not be deemed an infringement of intellectual property rights.
8 Delivery, After-Sales Service and Risk Assumption
8.5. International Delivery and Customs Duties
5) The Platform Operator is responsible for arranging international logistics for the shipment of goods from mainland China or designated overseas warehouses to the delivery address provided by the Backer.
6) Customs Duties and Taxes: Unless otherwise explicitly stated on the product page, the product price does not include customs duties, import value-added tax (VAT/GST), excise duty, or customs clearance fees levied by the customs authorities of the destination country. The aforementioned costs shall be borne by the backer (consignee).
7) The Vendor and the Platform Operator are obliged to prominently display the following notice on the product details page for overseas buyers: “Please note: International delivery may incur customs duties, which are the responsibility of the buyer”. Any losses resulting from refusal of delivery, refunds or returns due to failure to fulfil this notification obligation shall be borne by the party at fault.
8) If a supporter refuses to pay customs duties, resulting in the parcel being destroyed or returned, the platform reserves the right to refund the remaining amount to the supporter after deducting return shipping costs, storage fees and the customs duty deposit; the Vendor shall not be entitled to claim payment for that order.
8.6. The Vendor shall bear full and ultimate responsibility for any product quality issues, consumer complaints or legal risks arising from factors independently determined or confirmed by the Vendor, such as product concept, functional design and material selection standards (“Design Factors”).For product quality issues arising from non-design factors such as the production processes or quality control of third-party factories (including certified factories), the Platform Operator shall assist the Vendor in holding the factory accountable; however, the Platform Operator shall not bear joint and several liability for compensation unless the Platform Operator has acted with intent or gross negligence during the organisation of production.
8.7. Both parties acknowledge that international custom manufacturing and logistics involve inherent risks (such as minor delays in production schedules, customs spot checks, and isolated instances of cargo damage). The Platform Operator shall exercise due diligence in management; however, for reasonable risks not attributable to the Platform Operator, both parties shall jointly explain the situation to the Backers and negotiate a resolution.
8.8. Should a Vendor wish to withdraw from the Platform, there must be no outstanding transaction orders under their Platform account. Provided the above condition is met, the Vendor must submit an application to the Platform Operator at least seven working days in advance. In the event of a Vendor’s voluntary Payouts, the Platform Operator shall, within twenty working days of receiving the application, forcibly settle all unwithdrawn funds in the account and transfer them to the Vendor’s designated bank account, and shall cancel and deactivate the Vendor’s Platform account upon completion of the transfer.
9 Liability for Breach
9.1 Should the Vendor provide the Platform with false or invalid supporting documents or other relevant evidence, publish incorrect, false or unlawful content on the “StarrToy Platform”, or engage in any other conduct in breach of this Agreement, thereby causing any loss to the Platform and/or the “StarrToy Platform” (losses including but not limited to litigation costs, legal fees, damages, compensation, administrative penalties, travel expenses and goodwill), the Vendor shall be liable for compensation.
9.2 The Vendor shall be deemed to be in breach of this Agreement upon discovery of any of the following circumstances:
14) Providing false qualification documents;
15) Incorrectly labelling information regarding the price or specifications of customised products, resulting in administrative penalties, disputes or user conflicts;
16) Where the designs provided contain infringing defects, or where production documents contain errors, resulting in losses suffered by the Platform Operator or its partners, the Vendor shall bear full liability for compensation.
17) Product designs used infringe upon the intellectual property rights of third parties, violate legal provisions or breach platform rules;
18) Engaging in false advertising, mislabelling prices, or, upon self-inspection by the platform operator, being found to divert traffic off-site;
19) Where promotional copy or product designs violate public order and morality or applicable laws and regulations, and such violations are reported by users and verified as true by the platform operator;
20) Where the products dispatched by the Vendor are significantly inconsistent with the product description and are the subject of user complaints;
21) If parcels or products dispatched by the Vendor contain items prohibited for international transport, as discovered through random inspections by the Platform Operator or any third party;
22) Malicious harassment of users or the disclosure of users’ privacy or personal information;
23) In the Ready-to-ship Sales model, the Vendor delays dispatch for more than fifteen days after the user has placed an order and made payment;
24) In the pre-sale model, where the vendor fails to dispatch goods by the scheduled dispatch date after a group order has been confirmed, without having provided prior notice;
25) The platform operator receives notification from an administrative authority and is required to suspend services at the authority’s request.
26) Penalties imposed by payment channels and dispute resolution fees arising from the platform receiving credit card chargebacks or losing PayPal dispute rulings due to reasons attributable to the Vendor (including, but not limited to, delayed dispatch, goods being significantly inconsistent with the description, or disputes regarding counterfeit goods);
9.3 Where a Vendor commits a breach of the Agreement, or where other actions taken by the Vendor cause or may cause harm to the Platform’s reputation, normal operational order or consumer rights, the Platform Operator reserves the right, at its sole discretion and based on the circumstances, to take one or more of the following measures. The Vendor understands and agrees that such measures constitute necessary management actions by the Platform Operator to maintain the Platform’s ecosystem and do not constitute a breach of contract:
9.4 Suspension of Payouts;
9.5 Freeze account funds;
9.6 Remove all or some products from sale;
9.7 Suspend the provision of services;
9.8 Unilaterally terminate this Agreement and remove the Vendor from the platform.
9.9 Where the Vendor breaches this Agreement or the Platform Rules, the Platform shall, in addition to being entitled to claim liability for breach of contract from the Vendor in accordance with the provisions of this clause, also be entitled to take measures such as the immediate removal of products, the suspension of services to the Vendor, or the termination of the partnership, in accordance with the relevant management rules of the "StarrToy Platform". Should the Vendor, or any of its affiliated parties, sell counterfeit or substandard goods, the Platform operator shall be entitled to place the Vendor on a blacklist and terminate the partnership.Furthermore, the Platform Operator reserves the right to destroy any counterfeit goods held by the Vendor in the StarrToy warehouse.
9.10 Special Liability for Malicious Breach of Contract Following the Formation of a Pre-sale Group or the Sale of Stock Items
9.11 Where a Vendor initiates a pre-sale project via the Platform and the project is successfully funded, any of the following acts shall constitute a serious fundamental breach. In addition to the Platform Operator’s right to immediately take all measures set out in Clause 9.3 of this Agreement, the Vendor shall also bear special liability:
4) Failure to remove listings or refusal to fulfil obligations: Unauthorised removal of links for pre-sale products that have been successfully sold, or explicit refusal to fulfil production or dispatch obligations, without valid grounds (such as force majeure or major design defects recognised by the platform operator at ).
5) Redirecting or Inducing Order Cancellations: Inducing or attempting to induce supporters, by any means (including but not limited to inserting promotional materials into product packages, guiding them via customer service communications, or providing external contact details), to cancel their orders on the platform and instead transact through the Vendor or other channels.
6) Providing false information or maliciously interfering with fulfilment: During the fulfilment process, providing the platform operator or partner factories with incorrect, incomplete or misleading production documents or technical data, resulting in the inability to produce goods or the production of goods that seriously fail to meet the pre-sale description; or, without justifiable reason, refusing to cooperate or delaying confirmation of key stages necessary for production (such as sample confirmation or process review), thereby maliciously interfering with or obstructing the platform operator’s normal organisation of production and dispatch processes.
Liability for the above breaches:
5) Standard of Liquidated Damages: The Vendor shall pay the Platform Operator liquidated damages equivalent to 100% of the total transaction value of the relevant breach. Such liquidated damages shall be used to compensate the Platform Operator for loss of goodwill, user compensation costs, costs of substitute performance, and loss of anticipated profits.
6) Authorisation for Cross-Project Fund Consolidation and Set-off: The Vendor hereby irrevocably authorises the Platform Operator to take the following measures to settle the liquidated damages, compensation and costs of substitute performance under this clause:
l Scope of Consolidation: All unsettled funds, deposits, retained funds and receivables of any nature under all accounts and all projects (including but not limited to other pre-sale projects, Ready-to-ship Sales projects and completed projects where funds have not yet been withdrawn) of the Vendor on the StarrToy platform shall be consolidated.
l Direct Set-off: The Platform Operator shall be entitled to deduct all amounts payable by the Vendor under these Terms directly from the aggregated funds without further notice.
l Recovery of Shortfall: If, after consolidation and set-off, the funds remain insufficient to cover the Platform Operator’s total losses (including costs of performance on its behalf, user refunds, Liquidated Damages payments, legal fees, etc.), the Vendor shall make up the shortfall within 5 days of receiving written notice from the Platform.
7) No Waiver of Performance or Refund Obligations: The Vendor’s liability for the aforementioned breach of contract does not exempt it from its contractual obligations.For orders that have not yet been fulfilled, the Platform Operator reserves the right to choose: (a) to require the Vendor to continue performance or to commission a third party to perform on its behalf, with all costs arising therefrom (including but not limited to higher production costs and express delivery charges) to be borne by the Vendor; or (b) to issue a full refund directly to the Backers, with all refund expenses and any resulting payment processing fees to be borne by the Vendor.
8) Permanent Expulsion: In the event of such a breach, the Platform Operator reserves the right to immediately and permanently expel the Vendor and its affiliated entities from the Platform, place them on a blacklist of partners, and publicly disclose their breach.
9.12 The liquidated damages and compensation referred to in this clause shall be paid by the Vendor to StarrToy within 5 days of the date of written notice issued by the Platform. If the Vendor fails to pay by the due date, the Platform Operator shall be entitled to deduct the amount directly from any payments due to the Vendor from the Platform.
9.13 Where the Vendor utilises the Platform Operator’s supply chain services, if production deviates significantly from the Vendor’s established standards or there are serious delays or losses in logistics due to the Platform Operator’s gross negligence, the Platform Operator shall bear the corresponding liability.
10 Limitation of Liability and Exemption
10.1 Under no circumstances shall the Platform Operator be liable for any failure to provide services or any delay in providing services resulting from force majeure events such as power failures, strikes (including internal strikes or labour unrest), labour disputes, riots, uprisings, disturbances, shortages of labour or production resources, fire, flood, storm, explosion, war, or government action, or from orders issued by international or domestic courts, or the failure of a third party to act.
10.2 Given the special nature of the internet and e-commerce, the Platform Operator’s grounds for exemption from liability shall also include, but are not limited to, any of the following circumstances affecting the normal operation of the network:
6) large-scale cyber-attacks, or the intrusion or outbreak of computer viruses;
7) StarrToy is unable to fulfil its obligations under the Service Agreement due to the destruction, paralysis or malfunction of computer systems;
8) significant disruption caused by technical adjustments made by telecommunications providers;
9) Temporary closures resulting from government regulations;
10) Other circumstances not attributable to StarrToy.
10.3 Handling of Force Majeure: If, during the term of this Agreement, either Party is affected by an event of force majeure, it shall notify the other Party as soon as possible after the occurrence of such event and provide relevant supporting documentation within 15 days of the date of notification. If the force majeure event continues for a period of thirty days, either Party shall be entitled to terminate this Agreement early by giving notice to the other Party. Neither Party shall be liable for breach of contract should this Agreement be suspended or terminated due to force majeure.
11 Validity, Termination and Rescission of the Agreement
11.1 This Agreement shall be legally binding solely in respect of the relevant business activities conducted for specific users.
11.2 Multi-tiered Dispute Resolution
3) Between the Platform and the Vendor: Any dispute arising out of or in connection with this Agreement shall be resolved through friendly consultation between the parties; if consultation fails, either party shall have the right to bring proceedings before the People’s Court with jurisdiction in the location of the Platform operator.
4) Disputes Involving Overseas Supporters (Consumers):
l If a Supporter is a resident of a jurisdiction outside the mainland territory of the People’s Republic of China, the Supporter shall have the right to bring an action before the competent court in their place of residence in accordance with the laws of their place of residence and mandatory consumer protection provisions.
l The Platform Operator and the Vendor shall cooperate in resolving such cross-border consumer disputes. If the Platform Operator is sued or penalised overseas due to the goods or services provided by the Vendor violating mandatory legal provisions in the Supporter’s place of residence, the Vendor shall bear all losses incurred by the Platform Operator as a result (including, but not limited to, overseas litigation costs, legal fees, fines and Payouts payments).
l The Platform encourages both parties to engage in amicable negotiations through an Online Dispute Resolution (ODR) platform.
11.3 The formation, validity, interpretation, performance and dispute resolution of this Agreement shall be governed by the laws of the Mainland of the People’s Republic of China. The application of this clause shall not deprive or restrict the rights conferred upon the Supporter (consumer) by mandatory consumer protection laws in any jurisdiction. If the Supporter is a “consumer” under the laws of their place of residence, and the laws of that place of residence provide a higher standard of mandatory protection for consumers, such mandatory provisions shall apply.The interpretation, amendment, performance and resolution of disputes shall be governed by the laws currently in force in the Mainland of the People’s Republic of China.
12 Other Agreements
12.1 The Parties confirm that the formation, validity, interpretation, performance and resolution of disputes under this Agreement shall be governed by the laws of the People’s Republic of China. Any dispute arising from this Agreement shall be resolved through consultation between the Parties; if consultation fails, either Party shall have the right to bring proceedings before the People’s Court with jurisdiction at the location of the Platform Operator.
12.2 The contact details (including email address, mobile number and postal address) provided by the Vendor in their Platform account shall constitute the valid address for the service of legal documents, notices and dispute resolution documents between the parties.Should there be any change to the aforementioned addresses, the party making the change shall notify the other party in writing within three days; otherwise, service at the original address shall be deemed valid. Where documents are not actually received due to the provision of an inaccurate address, failure to notify of an address change, or refusal to accept delivery, the date of return of the document shall be deemed the date of service in the case of service by post; in the case of electronic service, the date of transmission to the designated system shall be deemed the date of service.
12.3 The failure of either party to this Agreement to exercise any right hereunder in a timely manner shall not be deemed a waiver of such right, nor shall it affect that party’s ability to exercise such right in the future.
12.4 If any provision of this Agreement is, for any reason, wholly or partially invalid or unenforceable, or in breach of any applicable law, such provision shall be deemed deleted. However, the remaining provisions of this Agreement shall remain valid and binding.
12.5 This Agreement constitutes the entire and exclusive agreement between the parties regarding the matters of cooperation referred to herein, and supersedes any prior agreements and communications (including those in electronic, written or oral form) relating to such matters of cooperation.
12.6 The Chinese version of this Agreement shall prevail. The Platform may provide translations in other languages for reference. In the event of any conflict between the Chinese version and any translation, the Chinese version shall prevail, provided that this does not contravene mandatory consumer protection laws in the jurisdiction of the Supporter.
