Starrtoy Platform Vendor Onboarding Guidelines


前言 / Introduction

本入驻须知、亦称入驻协议附件及不时公示于“Starrtoy平台”(以下简称“平台”)的各项规则所组成(以下简称“本协议”或“服务协议”)。协议附件及规则与本协议具有同等法律效力。如规则与本协议约定不一致的,以公布生效日期或签署日期在后的文件为准执行。

This Vendor Onboarding Guideline, also referred to as the “Onboarding Agreement Appendix,” together with the rules published from time to time on the Starrtoy Platform (“the Platform”), collectively constitute this Agreement or Service Agreement. Attachments and platform rules have the same legal effect as this Agreement. In case of any inconsistency, the document with the later effective or signing date shall prevail.


1. 定义 / Definitions

1.1 入驻者(Vendor)
指完成平台注册程序,上传自身创作的产品供用户下单的主体。
Refers to an entity that has completed the platform registration and uploads original products for users to place orders.

1.2 网站/平台(Website/Platform)
网站域名为 Starrtoy.comxpersonatoy.com。入驻者可通过平台发布、展示和交易商品。域名变更不影响入驻者的权利与义务。
The websites Starrtoy.com and xpersonatoy.com serve as the platform for product listing, display, and transactions. Vendor rights and obligations remain unaffected by domain changes.

1.3 定制服务(Customized Service)
指入驻者根据用户需求提供的个性化商品定制服务。
Refers to personalized product customization provided by the vendor upon user request.

1.4 平台用户(User/Customer/Buyer)
指在平台注册的法人、自然人或其他组织。
Refers to any legal entity, individual, or organization registered on the platform.

1.5 上架(Listing)
入驻者可创建商品链接供用户浏览、下单、评论。
Vendors may create product listings for users to view, order, and comment.

1.6 下单(Order Placement)
用户通过平台支付购买定制商品的行为。
Refers to a user’s act of purchasing a customized product through the platform.

1.7 预售(Pre-sale)
指尚未生产完成的商品提前销售的行为。
Refers to selling products before they are produced or stocked.

1.8 流团(Unsuccessful Pre-sale)
预售未达到成团条件时的情况,入驻者须按规则退款。
Refers to when a pre-sale fails to meet conditions; vendors must refund buyers accordingly.

1.9 现货销售(Ready Stock Sale)
基于现有库存的即时销售行为。
Refers to immediate sales based on available stock.

1.10 个人信息(Personal Information)
包括能识别身份的信息,如姓名、身份证号、联系方式等。
Includes identifiable information such as name, ID number, and contact details.


2. 服务事项 / Services

2.1 入驻者完成入驻后,可通过平台销售定制或现货商品。定制商品非质量问题不适用“七天无理由退货”。
Vendors may sell customized or ready-stock products after onboarding. Customized goods are not eligible for “7-day unconditional returns” unless defective.

2.2 入驻者上架时需明确销售模式(预售/现货)及相关信息(周期、库存、价格等)。
Vendors must specify the sales model (pre-sale or ready stock) and provide accurate product data.

2.3 结算规则 / Settlement Rules

a. 预售模式(Pre-sale)
成团后平台2个工作日内提供对账单,次周二支付。
After a successful pre-sale, the platform issues a settlement report within 2 business days and pays on the following Tuesday.

b. 现货模式(Ready Stock)
每周一提供上周对账单,确认后次周二支付。
Weekly settlements are issued every Monday; payment is made by the next Friday after confirmation.

2.4 入驻者首次上架时需提供有效收款账户。
Vendors must provide a valid payment account upon first product listing.


3. 入驻者声明与保证 / Vendor Representations and Warranties

入驻者应确保:

  • 所提供信息真实有效;

  • 拥有合法销售权及知识产权;

  • 商品描述真实、符合法律法规;

  • 不诱导用户跳转他站交易;

  • 授权平台在全球范围宣传商品图片与信息。

Vendors shall ensure:

  • All submitted information is true and valid;

  • They hold legal sales rights and IP ownership;

  • Product descriptions are accurate and lawful;

  • No actions divert users to other platforms;

  • The platform is granted global use of images and product information for promotional purposes.


4. 平台的权利与义务 / Platform Rights and Obligations

  • 平台提供电子商务交易系统与技术支持。

  • 有权组织促销活动,要求入驻者配合。

  • 有权要求入驻者提供商品与售后资料。

  • 对违规、侵权或违法行为,平台有权下架商品并终止服务。

  • The platform provides e-commerce transaction and technical support.

  • It may organize promotions and require vendor cooperation.

  • It may request relevant product or after-sales information.

  • The platform may remove listings or terminate services for violations or infringements.


5. 服务退出 / Service Termination

入驻者需结清所有未完结订单后方可申请退出,提前7个工作日通知平台。平台在20个工作日内结清未提现款项并注销账户。
Vendors may terminate participation after closing all active orders, notifying the platform 7 business days in advance. The platform settles remaining balances within 20 business days and deactivates the account.


6. 违约责任 / Breach of Contract

平台有权对以下行为采取措施(下架、终止合作等):

  • 提供虚假资料;

  • 侵犯第三方知识产权;

  • 虚假宣传或误导;

  • 恶意引流、违规广告;

  • 延迟发货、泄露用户信息等。

The platform may suspend or terminate services for:

  • Providing false documentation;

  • IP infringement;

  • Misleading or false advertising;

  • Diverting users or violating ad laws;

  • Late shipment or disclosure of user data.

违约金及赔偿金应于通知5日内支付,否则平台有权从应付款项中扣除。
Fines and compensations must be paid within 5 days of notice, otherwise deducted from due payments.


7. 有限责任与免责 / Limitation of Liability and Exemption

平台不对以下情况承担责任:

  • 不可抗力(战争、自然灾害、政府行为等);

  • 网络攻击、系统故障、电信调整等非平台过错原因。
    Vendors承担税务申报义务,平台仅提供交易数据支持。
    The platform is not liable for force majeure or system/network failures. Vendors are responsible for their tax filings.


8. 信息保护 / Data Protection

  • 平台仅收集必要信息(身份证、执照、银行账户等);

  • 入驻者可申请修改或删除信息;

  • 平台采用加密存储,防止泄露。

  • The platform only collects necessary information (ID, license, bank account, etc.);

  • Vendors may request modification or deletion;

  • All data is securely encrypted and protected from unauthorized access.


9. 其他约定 / Miscellaneous

  • 平台修改协议将提前7天公告,未提出异议视为同意;

  • 权利未行使不视为放弃;

  • 协议无效条款不影响其他条款效力;

  • 本协议以简体中文版本为准。

  • The platform will announce any changes 7 days in advance;

  • Failure to exercise rights does not constitute a waiver;

  • Invalid clauses do not affect the validity of others;

  • This Agreement is governed by its Simplified Chinese version.
